Writing a preface for the First Edition for new syllabus of Business Law-2 for B.Com. (Financial Markets), Semester-IV is satisfying, particularly when the selected syllabus is apt for students of financial markets.

While study of Company Law prescribes selected study under each head, several important and connected topics with financial markets like study of share capital and debentures, acceptance of deposits, declaration of dividend, registration of charges, accounts of companies, audit and auditors are not a subject of study.

Similarly, though major aspects of intellectual property rights are a subject of study, but recent interest developing in designs, geographical indication of goods and plant varieties are excluded. At the same time, too much has been clubbed in Module-IV which in effect has four topics of study and not two as reflected in the syllabus. However, here again, the law on depositories is not prescribed. This happens when many a topics are attempted to be clubbed in a limited framework of study.

Be as it may, attempt has been made in this text to impart as much knowledge as possible with restrictions on the author to limit the extent of study as far as possible. Acts, Rules, Regulations, Circulars, Guidelines, etc. have been compiled and simplified to maintain an interesting flow of study of each subject and to give a bird’s eye-view of each topic and sub-topic.
